Terms of Service

1. About these terms

linkr is operated by Ladd & Associates Pty Ltd (ABN 44 661 701 060) of Bendigo VIC 3550, Australia. In this document "we", "us" and "our" mean Ladd & Associates Pty Ltd, and "you" means the person or business using linkr.

By creating a short link, publishing a linkr.bio page, or using any part of the service, you agree to these terms. If you are agreeing on behalf of a business, you confirm you are authorised to bind it.

If you do not agree, do not use the service.

2. What linkr is — and is not

linkr shortens a web address you give us into a shorter one, and sends anyone who follows it to the address you nominated. We also render a preview card for messaging apps and social networks, count clicks, and host linkr.bio pages — a single page of links you can put in a social profile.

We are a redirection and hosting service. We are not the author, publisher or endorser of anything at the other end of your link, and we do not review, approve or monitor destinations. A short link is a pointer, not a recommendation.

We are not a backup service, a web host for your content, or an archive. If the destination you point at disappears, changes, or starts serving something else, that is outside our control and nothing to do with us.

3. Your account

You sign in with a code we email to the address on your subscription. Anyone with access to that mailbox can sign in as you, so keep it secure and tell us promptly if you think someone else has it.

You are responsible for everything done through your account, including by staff, contractors or anyone you share access with.

4. What you may not point a link at

Our Acceptable Use Policy forms part of these terms and sets out what a link or a linkr.bio page may not be used for. In short: nothing unlawful, deceptive, malicious, or designed to disguise where somebody is really going.

You warrant that you have the right to link to each destination you nominate, and that doing so does not infringe anyone else's rights.

5. We do not monitor, and we may still act

We do not pre-screen destinations and have no general obligation to monitor them. The volume makes it impossible and the result would be worse: a service that checked links at creation would give false assurance about what they point at later.

We may, without notice, disable any link or page we reasonably believe breaches these terms, is unlawful, or exposes us or our other customers to risk. We are not obliged to look, and not looking is not consent.

6. Your codes, and what we promise about them

Short codes are allocated first come, first served. A code is not your property and we grant no trade mark or other right in it — but while your subscription is current, it is yours to use.

A retired code is never reissued to anybody else. Codes end up on signboards, in brochures and in printed material with a life of its own, and pointing an old code at an unrelated destination would harm people who had no part in the decision. This is a commitment, not a courtesy.

You may re-point your own link at a new destination at any time. Doing so is your decision and your responsibility, including where the link is already published.

7. Availability

We aim to be available continuously and the service is built to be, but we do not promise uninterrupted or error-free operation and we offer no service level agreement.

The redirect runs on Cloudflare's network. At our current plan level that carries no contractual uptime guarantee, and we would rather say so than imply a promise we cannot keep. If uptime is critical to you — for example because codes are going on signage for a campaign you cannot re-print — talk to us before you commit.

We may suspend the service for maintenance, and will try to do so outside Australian business hours where we reasonably can.

8. Fees, and what happens if a payment fails

Subscriptions are billed monthly in advance at the price shown when you sign up, in Australian dollars, plus GST where it applies. Your card is charged automatically on the same date each month.

If a discount applied at signup, the price and any end date for it are fixed to your subscription at that moment. Changing or withdrawing a discount later does not change what you pay.

If a payment fails we retry daily and email you. After a grace period new link creation and dashboard access are paused. Your existing links keep redirecting — we will not take down published links over a billing problem, because the people following them had no part in it.

You may cancel at any time. Cancellation stops future billing; we do not refund part months, except where the Australian Consumer Law requires it.

9. Your content

You keep ownership of everything you give us: destinations, labels, page titles, images and the content of your linkr.bio pages.

You grant us the licence we need to run the service — to store, reproduce and publish that content for the purpose of serving your links and pages. It is limited to operating linkr and ends when the content is removed.

You are responsible for having the rights to everything you upload or link to, including images you point at from a linkr.bio page.

10. Our intellectual property

The linkr software, brand, page designs and documentation are ours or our licensors'. Nothing in these terms transfers them to you.

You may not copy, reverse engineer, resell or white-label the service without our written agreement.

11. Third-party services

We rely on third parties to deliver the service — Cloudflare for the redirect and hosting, Salesforce for the dashboard and portal, and National Australia Bank for payments. Their availability and conduct are outside our control.

Card details are captured by the payment gateway and never reach our systems. We hold only a token the bank can use for your next payment.

12. Disclaimer

To the maximum extent permitted by law, and subject to the Australian Consumer Law section below, the service is provided "as is" and we exclude all warranties, conditions and representations not expressly set out here.

In particular we make no representation about the content, safety, legality or availability of any destination a link points to, or of anything on a linkr.bio page published by a customer.

13. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. If a term would do so, it does not apply to that extent.

Where the ACL applies and the service is not of a kind ordinarily acquired for personal, domestic or household use, our liability for failing a consumer guarantee is limited, at our option, to resupplying the service or paying the cost of having it resupplied.

14. Limitation of liability

Subject to the section above, and to the maximum extent permitted by law, our total liability to you arising out of or in connection with the service — however it arises, including in negligence — is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

We are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill, business opportunity, data, or anticipated savings, even if we were told it was possible.

We are not liable for any loss arising from the content or conduct of a destination you or another customer nominated.

15. Indemnity

You indemnify us against any claim, loss, liability or cost (including reasonable legal costs) arising from your use of the service, your content, a destination you nominated, or your breach of these terms — except to the extent it was caused by us.

16. Suspension and termination

We may suspend or terminate your access immediately if you breach these terms or the Acceptable Use Policy, if your payment fails beyond the grace period, or if we are required to by law.

On termination your links stop resolving. Because published codes outlive the accounts that made them, we will give you reasonable notice where we sensibly can — but not where the breach is serious, unlawful, or ongoing.

You can export your links from the portal at any time while your account is active. Do that before you cancel.

17. Changes

We may change these terms. If a change materially reduces your rights we will email the address on your subscription at least 14 days beforehand, and you may cancel before it takes effect.

Continuing to use the service after a change takes effect means you accept it.

18. General

These terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of its courts.

If any term is unenforceable it is severed and the rest continues. A delay in enforcing a term is not a waiver of it.
